LEGAL NOTICE

1. Definitions and Interpretations

"Company" means the company in which you are a holder and which entitles you to use the web service.

"Data Protection Act" means the Data Protection Act 2018

"Holder" means a shareholder or other person interested in the shares.

"ID" means the User Identification Details, including investor code and password where appropriate.

"Investor Code" means the unique reference number issued to you, which can be found on your share certificate and tax voucher.

"Password" means the password you select when registering for the web service or any replacement.

"Shares" means shares in the company.

"Share Certificate Registrar" means Share Certificate Registrar, a company registered in the USA with its registered office at One World Trade Center, 285 Fulton St Floor 83, New York, NY 10007, USA.

"The System" means the computer system, including both hardware and software, used by you to access the web service.

"Web Service" means the web share registration service provided by Share Certificate Registrar.

2. Security

2.1 Security and confidentiality are of vital importance to us.

2.2 By registering for the web service, you warrant that you are the holder or attorney for the holder with a valid legal right to access it

2.3 When you register, you will be required to provide authenticating information. Once you have provided this and created your ID, we will confirm your registration by first-class mail to your registered address. When you access the site for the first time, you may be asked one or more security questions.

2.4 As a user, you play a crucial role in the security of your ID. You agree that you are responsible for any actions entered through this service by you or others who obtain access using your ID. This responsibility empowers you to defend and indemnify Share Certificate Registrar against any liabilities, costs or damages arising from claims or suits by third persons based upon or relating to such access or use.

2.5 Your data is of utmost importance to us. Share Certificate Registrar will protect such data per the Data Protection Act 2018 requirements. Using the web service, you can be confident that Share Certificate Registrar may collect and hold your personal information and disclose it to such regulatory authorities as US law requires.

2.6 Currently, Share Certificate Registrar does not record telephone calls but reserves the right to do so for evidence in the case of a dispute.

3. Registration

3.1 Before registration, you are required to ensure that you have a computer and equipment adequate for accessing the web system and maintaining the system

3.2 By completing the registration form, you agree to be bound by these terms and conditions.

3.3 You will be required to provide security data for yourself. Upon being authenticated, you will be issued an ID. You will be given a limited number of attempts to enter your ID. If you fail to enter your ID correctly within this limit, your right to use the web service may be withdrawn. Should this happen, you must re-register by contacting the Share Certificate Registrar in writing, either by email or post and following the re-registration process outlined in the terms and conditions.

4. Operation

4.1 The web service will usually be available 24 hours a day. However, it may be temporarily unavailable for several reasons, such as maintenance and internet failure, which are outside the control of Share Certificate Registrar. In such cases, Share Certificate Registrar shall not be liable for any non-availability and will work to restore the service as soon as possible.

4.2 You are responsible for accessing the web service. As access is through the public net, Share Certificate Registrar cannot guarantee access, speed, and availability to network services.

4.3 Share Certificate Registrar reserves the right to make any technical changes to the site that it deems necessary without giving notice. These changes may include updates to improve user experience or security measures. Share Certificate Registrar will not be responsible should these changes affect your access.

4.4 You must be aware that the shared data on the web is not necessarily up to date as this is an active site. In particular, it will probably not have a record of recent deals as they take time to reach registrars.

5. Liability

5.1 Share Certificate Registrar is entitled to rely upon using your ID as sufficient identification and will not be liable for any use by persons you do not authorise. You agree to notify Share Certificate Registrar immediately if you suspect your ID has been compromised.

5.2 Share Certificate Registrar is not liable for any direct or indirect damages arising from using this service and offers no warranties.

5.3 These Conditions of Use shall be subject to and construed by US law. Both you and Share Certificate Registrar hereby agree to submit any dispute arising out of or in connection with these Conditions to the exclusive jurisdiction of the United States courts.
